Terms of Service

These Terms of Service govern your access to and use of BESC Exchange, including our websites, applications, APIs, wallets, trading tools, marketplace features, fiat services, card services, P2P services, staking products, copy trading, bots, futures or advanced trading tools, support services, and any other products or services we make available. By creating an account, accessing the platform, or using any service, you agree to these Terms.

These Terms are intended to be production-ready platform terms, but they must be reviewed by qualified U.S. counsel before public launch or before relying on them as final legal terms.

1. Platform Operator

BESC Exchange is operated through a U.S. limited liability company. References to "BESC Exchange," "we," "us," or "our" mean the platform operator and its affiliates, service providers, officers, employees, contractors, and agents where applicable.

2. Eligibility

You may use BESC Exchange only if you are legally able to enter into these Terms, are at least 18 years old or the age of majority in your jurisdiction, and are not located in or ordinarily resident in a jurisdiction where use of the relevant service is prohibited. You may not use the platform if you are subject to sanctions, export controls, or other restrictions that prohibit us from providing services to you.

3. Account Registration and Verification

You agree to provide accurate, current, and complete information when creating or maintaining an account. We may require identity verification, business verification, source-of-funds information, tax information, proof of address, enhanced due diligence, or other documentation before enabling certain features, increasing limits, processing withdrawals, or resolving account issues.

You are responsible for securing your login credentials, devices, email account, two-factor authentication methods, API keys, withdrawal addresses, and session access. You must notify us immediately if you suspect unauthorized access or account compromise.

4. Available Services

Services may include spot trading, ecosystem asset trading, deposits and withdrawals, fiat on-ramp and off-ramp services, P2P trading, debit card services, staking, NFT marketplace functionality, copy trading, bots, API access, advanced order types, futures or derivatives access where available, and related account tools. Not every product is available to every user, asset, location, or verification level.

Some services may be provided by third-party banks, payment processors, card issuers, liquidity venues, wallet infrastructure providers, compliance providers, or blockchain networks. Your use of those services may be subject to additional terms, limits, fees, reviews, reversals, holds, settlement timing, and compliance requirements.

5. Digital Asset Risk

Digital assets are high-risk assets. Prices may be volatile, liquidity may be limited, forks or network events may occur, transactions may be irreversible, smart contracts may fail, and regulatory treatment may change. You may lose all funds used in trading, staking, futures, leveraged products, or unsupported transfers. You are solely responsible for determining whether a transaction, asset, network, or product is appropriate for you.

BESC Exchange does not provide investment, tax, accounting, legal, or financial advice. Any platform data, market information, analytics, copy trading, bot activity, or educational content is provided for informational purposes only.

6. Deposits, Withdrawals, and Transfers

You are responsible for confirming the correct asset, network, memo, destination address, and amount before making a deposit or withdrawal. Unsupported assets, unsupported networks, missing memos, incorrect addresses, contract transfers, or incompatible deposit methods may result in permanent loss.

We may delay, reject, suspend, review, or cancel deposits, withdrawals, transfers, or trades when required for security, compliance, risk controls, liquidity, network congestion, maintenance, suspected fraud, sanctions screening, law enforcement requests, or suspected violation of these Terms.

7. Trading, Orders, and Execution

You are responsible for reviewing all order details before submitting an order. Market orders may execute at prices different from the displayed price. Limit, stop, trigger, trailing, take-profit, stop-loss, and other advanced order types may not execute if market conditions are not met or if liquidity is insufficient. We may route, match, execute, cancel, reject, or risk-check orders according to platform rules, market conditions, and available liquidity.

Trade confirmations, balances, position data, funding data, profit and loss, and market data are provided through platform systems and may be delayed, corrected, or reconciled. We may correct obvious errors, system errors, duplicate credits, incorrect balances, or failed settlement events.

8. Futures, Leverage, and Advanced Products

Futures, leverage, margin, short selling, trigger orders, trailing orders, and other advanced products carry substantial risk and may result in rapid losses, liquidation, fees, and loss of collateral. Access may require higher verification, risk acknowledgements, geographic eligibility, or additional account checks. You should not use these products unless you understand how they work and can bear the risk of loss.

9. Fees, Limits, and Availability

Fees, spreads, conversion rates, funding charges, withdrawal fees, network fees, card fees, provider fees, minimums, maximums, and processing times may apply and may change. We may display estimated fees before a transaction; final fees may vary due to market conditions, network conditions, provider charges, or execution price.

10. Prohibited Activity

You may not use BESC Exchange for unlawful activity, sanctions evasion, money laundering, terrorist financing, fraud, market manipulation, wash trading, spoofing, abusive trading, unauthorized access, account sharing to evade controls, use of stolen funds, exploitation of bugs, circumvention of limits, harassment, spam, or activity that harms users, markets, systems, providers, or the platform.

11. Compliance and Account Controls

We may monitor activity, request information, file reports, freeze or restrict accounts, reject transactions, disable products, close accounts, or cooperate with regulators, law enforcement, financial institutions, compliance providers, or court orders when legally required or when we determine it is necessary to protect users, the platform, or the financial system.

12. API, Bots, and Automated Access

You are responsible for API keys, automated trading tools, bots, integrations, rate limits, order logic, and permissions. We may throttle, suspend, or revoke API access that creates risk, instability, abuse, market disruption, or security concerns. API data may be delayed, unavailable, or corrected.

13. Taxes

You are responsible for determining and paying any taxes, duties, reporting obligations, or filings related to your use of BESC Exchange. We may provide account records or tax-related reports where available, but we do not provide tax advice.

14. Suspension and Termination

We may suspend, restrict, or terminate access to all or part of the platform at any time if we believe you violated these Terms, created risk, failed verification, triggered compliance controls, used the platform unlawfully, or created operational or security concerns. Where permitted, you may withdraw eligible remaining balances after account closure, subject to fees, minimums, network availability, security review, and legal restrictions.

15. Disclaimers

The platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access, error-free operation, asset availability, market liquidity, execution price, network confirmation times, provider performance, or that any asset will maintain value. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise.

16. Limitation of Liability

To the maximum extent permitted by law, BESC Exchange will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages, or for losses caused by market movement, user error, incorrect addresses, unsupported transfers, third-party providers, blockchain networks, unauthorized account access caused by user-side compromise, downtime, or force majeure events.

17. Indemnification

You agree to indemnify and hold harmless BESC Exchange from claims, losses, liabilities, damages, penalties, fees, costs, and expenses arising out of your use of the platform, your violation of these Terms, your violation of law, your content, your API activity, or your infringement of any third-party rights.

18. Changes to These Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the platform, email, or other reasonable means. Continued use of the platform after the effective date of updated Terms means you accept the updated Terms.

19. Governing Law and Dispute Resolution

These Terms and any disputes will be governed by the laws stated in the final legal version approved for BESC Exchange. Before public launch, this section should be finalized by counsel to include the correct state law, venue, arbitration provisions, class action waiver, and any consumer notices required for the jurisdictions where services are offered.
